Use of MarCoPay Inc.’s System or App
1. General
1.1    The “Terms and Conditions - Use of MarCoPay Inc.’s System or App” (hereinafter, this “T&C”) governs the terms under which you may access and use the products of MarCoPay Inc., its website and Application (as applicable) and the services associated with it (together, the “System or App”). By accessing, registering, or using the System or App, you agree to be bound by the terms of this T&C. Please read this T&C prior to completing the registration for an account with MarCoPay Inc.

Please also read the Privacy Policy and the Acceptable Use Policy before you use any feature or function of the System or App. The Privacy Policy describes how your personal data is collected and processed when you use the System or App. The Acceptable Use Policy defines the set of rules that you should comply with when using the System or App. If you do not understand or do not wish to be bound by this T&C, the Privacy Policy, or the Acceptable Use Policy, you should not access or use any feature or function of the System or App. 
1.2    Under this T&C, the terms “MarCoPay”, “MCP”, “we”, “us”, and “our” refer to MarCoPay Inc. together with its employees, directors, affiliates, successors, and assigns. MCP is a Philippine corporation duly registered and licensed with the Bangko Sentral ng Pilipinas (“BSP”) as a non-bank Electronic Money Issuer (“EMI-Others”) and Foreign Exchange Dealer (“FXD”).  MCP is also duly licensed by the Philippine Economic Zone Authority (“PEZA”) as an Ecozone IT Enterprise authorized to engage in the business of outsourcing of human resource management, in particular, the provision of data encoding services, transcribing and processing of the salaries of Filipino seafarers in the global shipping industry.
1.3    The terms “you” and “your” refer to users of the System or App, as Senders, Account Holders, Recipients, and other users.
1.4    This T&C shall be effective, valid and binding from the time that you agree to it and will exist up to the time that it is terminated by you or us, save for provisions which shall remain effective after termination, as stated in this T&C and/or in compliance with pertinent laws, rules or regulations.
1.5    MCP reserves the right to update and modify this T&C from time to time. Any changes to this T&C will be effective upon posting on this page, with an updated effective date. If the changes, in our sole discretion, are material, we may also notify you by sending an email to the email address associated with your Account or by otherwise providing you with notice through the System or App. By continuing to access or by continuing to use the System or App after any changes have been made to this T&C, you agree to be bound by the modified and updated T&C. We encourage you to periodically review the latest version of this T&C on this page.
1.6    This T&C may be provided in a language other than English. In case of conflict, the English language version shall be the controlling version.
2. Definitions
2.1    Account – refers to an account registered in MCP that stores United States Dollars (USD) and Philippine Peso (PHP) value in the System which may be linked to the User’s mobile phone.

2.2    Account Holder – refers to the principal account holder or individual who uses the System or App, and whose name appears on the online form, or signed enrolment form or application form, as may be applicable.

2.3    Affiliate – refers to any individuals or entities that are associated with MCP's service platform.

2.4    Applicant – refers to an individual applying for registration with the System or App.

2.5    Business Purpose – refers to a legitimate business purpose, which may include, but shall not be limited to, fraud and risk management, sales and marketing activities, communications relating to products and/or services, product and system development and innovation, customer experience management and improvement, and market research.

2.6    Credit Information Corporation – refers to the government-owned and controlled corporation tasked with the collection of credit information, pursuant to Republic Act No. 9501 or the Credit Information System Act.

2.7    Dormant Account – refers to an Account with no outgoing transactions for a continuous period of more than twelve (12) months. 

2.8    E-money – is used by the System or App, with a fixed equivalent rate of 1 unit to 1 US Dollar or 1 PH Peso.

2.9    Force Majeure – refers to events beyond the control of MCP, including but not limited to acts of God (such as earthquakes, floods, and typhoons), fire, epidemic, war, rebellion, insurgency, riots, invasion, strike, lockouts, labor disputes, other forms of work stoppage, interference or damage by third parties, government restriction, any relevant change in legislation, or order of a competent court.

2.10    Fraudulent Transaction or “Fraudulent Activity” – refers to an unauthorised transaction/usage on the System or App. This may include Accounts/devices that are lost, stolen, overtaken or fraudulent as determined by MCP. This is not the same as a dispute with a Merchant or with another User, which refers to any transaction where the said parties involved disagree on an issue, such as the wrong item or dispute about the price.

2.11    KYC – refers to “Know Your Customer” and the process of a business identifying and verifying the identity of its customers.

2.12    MCP – refers to MarCoPay Inc., a non-bank Electronic Money Issuer and Foreign Exchange Dealer (FXD) regulated by the Bangko Sentral ng Pilipinas with Institution Code 53-0017-00-000.

2.13    Merchant – refers to a business establishment accredited by MCP to accept payments for the purchase of goods and services using the System or App. It shall also refer to its stockholders, officers, managers, employees and agents.

2.14    Message – refers to communication message sent through e-mail.

2.15    PIN – refers to a Personal Identification Number.

2.16    Recipient – refers to a person to whom E-money is paid or credited through MCP’s remittance service.

2.17    Sender – refers to a person who sends E-money using MCP’s remittance service.

2.18    Subsidiary – refers to any company that is established or acquired by MCP, or that may be established or acquired by MCP in the future, to enhance MCP's services. It may also be referred to as an “Affiliate Company.”

2.19    System or App – refers to the MarCoPay service website and mobile application that serves as the interface utilized by the User for his/her Account. The use of the System or App shall be in accordance with the Terms of Service and User’s Guide found in the said System or App, and in accordance with this T&C.

2.20    Transaction – refers to any and all acts that the User does to his/her MarCoPay Account to avail of the services that MCP offers.

2.21    Transaction Amount – refers to the sum of money which an Account Holder uses in order to effect the Transaction.

2.22    Transaction Request – refers to the request of an Account Holder to effect any service or Transaction in his/her Account.

2.23    User – refers to an individual who uses the MarCoPay service (System) and whose name appears on the online form, or signed enrolment form or application form, as may be applicable. 
3. General Terms of Service
3.1    To open an Account, the Applicant must be over 18 years of age. Minors aged 7 to 17, who would like to open an Account, will require consent from their parents.

3.2    By registering your citizenship as a non-US citizen, you agree to the statement that “I am not a U.S. person and my personal information does not contain any U.S. indicia.” 

3.3    After submission of the application, the Applicant will receive a One-Time Passcode through his/her registered e-mail address. Applicants must submit personal information including valid government-issued IDs for personal identity verification, as well as relevant bank account information.

3.4    Completed applications will be screened by MCP to confirm the details of the Applicants. Accounts will be opened for successful Applicants.

3.5    Users must agree to this T&C, the Privacy Policy, and the Acceptable Use Policy, before applying for the service.

3.6    Failure to meet any of the above requirements will result in the denial of the submitted application.

3.7    A User can be the Account Holder of only one (1) Account.

3.8    MCP reserves the right to require the Account Holder to submit additional documents, and to require the Account Holder to update his/her information and submission from time to time.

3.9    MCP reserves the right to perform other actions as it may deem necessary, such as but not limited to reporting the Account Holder’s information and details to relevant government authorities to comply with any legal or regulatory obligation, or MCP’s internal policies and procedures in compliance with government regulations.

3.10    Failure of the Account Holder to timely provide any required information and/or documents shall entitle MCP to deny access to the System or App. 
4. Usage Purpose
4.1    Usage of MCP’s service and Accounts are for Personal usage only, subject to the conditions of the Acceptable Use Policy.

4.2    The System or App is not a depository or savings banking account. The System or App Account does not earn any interest, and the Account balance is not covered by the Philippine Deposit Insurance Corporation (“PDIC”). The System or App Account balance can be exchanged at face value, based on a fixed equivalent rate of 1 Unit to 1 US Dollar or 1 PH Peso.

4.3    Usage of System or App must adhere to the above Usage Purpose. Any usage outside of the intended purpose, whether intentional or unintentional, will result in the suspension of service by MCP to conduct a full investigation. Unintended misuse of the System or App will result in fines or temporary suspension of service; and any intentional misuse will result in fines and permanent termination of service.

4.4    Damages and liabilities resulting from misuse of the System or App outside the intended Usage Purpose will be solely the Account Holder’s responsibility. 
5. Transaction Fees and Rules
5.1    Transaction Fees.

The User agrees to pay transaction fees inclusive of tax, where applicable. All fees are non-refundable. MCP reserves the right to charge a membership fee or annual fee, at a later date.

5.2    The Account will be in US Dollar or PH Peso face-value. Account Holders may cash-out or remit the currency in USD or PHP through prescribed channels, subject to applicable charges.

5.3    Transaction and Wallet Limit.

A User's monthly maximum transaction and wallet limit may be assigned by MCP and is based on the financial situation of the User upon confirmation by MCP in accordance with the EMI license requirement. Within the maximum limit, MCP reserves the right to change the monthly transaction and wallet limit of users with prior notice and subject to prior written approval by the BSP.

5.4    Transactions may only be completed with Account Holder/User Authorization, by PIN, and a confirmation notice via the System or App will be sent to the User at the completion of each Transaction listing out the transaction details (i.e., Sender details, Receiver details, Transaction Amount, Transaction Date and Time). In view thereof, all Transactions completed are assumed as true and correct.

5.5    Notices on the System or App will be provided at the completion of each Transaction. This confirmation will be sufficient evidence that the User authorized the Transaction, and cannot be disputed. The Transaction Reference Number provided in the confirmation will be the proof of payment.

5.6    Users may check the balance on the System or App Account balance screen. Delays in balance update may occur due to the System or App connection and processing speeds of the Transaction.

5.7    In case of doubtful usage and non-receipt of payments and Transfers, Account Holders/Users must notify MCP at least fifteen (15) days from the Transaction date. The Transaction in dispute will be investigated, and in the event that the outcome of the said investigation is in the Account Holder/User's favor and involves a return of money, the amount will be credited back to his/her Account.

5.8    For Transaction disputes between Users, the matter shall be resolved between the said parties without any involvement of MCP.

5.9    MCP shall not be obligated to intervene in the resolution of any Transaction dispute between its customers and accredited merchants.

5.10    You represent that you are entitled to receive the cash-ins/top-ups/credits/transfers from the transferor to your E-money wallet. In case of cash-outs/debits/payments from your E-money wallet, you represent that you have authorized such cash-outs/debits/payments to the payee.

MCP is hereby authorized to effect any adjustments on what has been credited to/debited from your E-money wallet to, among others, correct any error or mistake committed, without need for any further deed, instrument, consent or authorization. Should your E-money wallet balance be insufficient to allow debit of such amount in order to correct said error or mistake, you are hereby requested to cash-in/top-up/deposit to your E-money wallet such amount as would cover the amount credited by error or mistake within five (5) days from receipt of MCP’s notice which will be sent to your registered e-mail and/or mobile number. 
6. Products and Services
6.1    Cash-out

a.    A User may withdraw from his/her System or App Account in the local currency via Bank ATMs (Limited to ATMs with Cirrus/VISAPLUS Mark displayed) and Cash Card (Limited to Cards with Cirrus/VISAPLUS Mark displayed).

b.    The User is responsible for any Transaction fees related to cash withdrawal, such as ATM fees and wire transfer fees charged in accordance with the policy or rules of the Bank providing the facility, unless otherwise specified by MCP.

c.    Cash-out is also available via e-wallets and other partner channels such as pawnshops and other licensed remittance agents.

d.    The usage of all features of the System or App assumes that internet connectivity is available. Where there is no internet connection, some features and functionalities may not be available.

6.2    Remittance
 
a.    A User may make transfer remittances of E-money to other Account Holders/Users registered in the Account Holder/User directory, by registering the recipient UserID to register the same in the directory list.

b.    User-to-User transfers can only be conducted by Users who have cleared MCP’s KYC requirements.

c.    Remittances to other E-money wallets regulated by the BSP are also available through MCP’s partner payment channels. MCP E-money may be transferred to a GCash, Paymaya, or Grab Pay wallet.

d.    The User is responsible for any transfer fees related to the transfers, unless otherwise specified by MCP.

e.    The usage of all features of the System or App assumes that internet connectivity is available. Where there is no internet connection, some features and functionalities may not be available, and the Account Holder/User will not be able to conduct the transfer.

f.    A User may make transfer remittances via MCP’s remittance partners (such as payment providers and pawnshops) subject to his/her payment of transfer fees.

6.3    Receiving Salaries
 
a.    To receive salary, the User must board the vessel, having pre-registered for the boarding of vessel, and set his/her device to Boarding Mode. Boarding Mode is a mode wherein the seafarer’s contract with the ship management company is registered in the System and the information between the ship management company and the seafarer is linked.

b.    Payment by verified users may only be conducted by Account Holders/Users who have passed MCP’s KYC requirements.

c.    The usage of the purchase payment service assumes that internet connectivity is available. Where there is no internet connection, this feature and functionality will not be available.

6.4    Foreign currency exchange
 
a.    A User may exchange foreign currency through the Forex functionality of the System or App.

b.    Only conversion of E-money US Dollars or PH Peso foreign currency transactions will be processed by MCP.

c.    E-money US Dollars or PH Peso foreign currency transactions will be converted based on the published rate in the System or App.

d.    Cash-out from foreign currency exchange proceeds via E-money will be covered by Clause 6 above.

6.5    Availment of Loan
 
a.    A User may apply for individual Loan via the loan functionality of the System or App after becoming a fully verified member.

b.    Agreement to share personal information, sensitive personal information and non-personal information between MCP and any of its affiliates, subsidiaries and/or third party service providers for purposes of loan application and processing is covered by the Data Sharing Consent form in the System or App.

c.    MCP assumes no responsibility in the approval of individual Loan application of a User via the System or App.

d.    Cash-out of loan proceeds via E-money and through the System or App will be covered by Clause 6 above. 
7. Data Analytics
7.1    MCP endeavors to create and develop new products and services. In relation thereto, MCP may collect and process data pertaining to your use of the System or App, in a manner that will not directly attribute to your individual person. This is for statistical purposes with the objective of understanding User behavior, preferences, and patterns.

7.2    MCP may also use data for purposes of testing and resolving bugs directly attributed to the transaction of the User.

7.3    Users may disallow collection and use of the above-mentioned data for the aforementioned purpose by informing MCP Data Protection Officer indicated in the Data Privacy Policy. 
8. Dormant Accounts
8.1    Dormant Accounts may be suspended by MCP. In order to reactivate a Dormant Account, the User must submit updated KYC information to MCP and pay any applicable Account reactivation fees.

8.2    For Dormant Accounts with balance, the Account may be deleted or purged if there are no Transactions for a continuous period of two (2) years. MCP reserves the right to delete or purge the Dormant Account, with prior notice to the User. Any remaining balance in such Dormant Account will be forfeited in favor of MCP.

8.3    For Accounts with $0 and ₱0 balance, the Account may be deleted or purged if there are no Transactions for a continuous period of one (1) year. MCP reserves the right to delete or purge the said Account, with prior notice to the User.

8.4    The User will be notified by MCP if his/her Account becomes dormant. The User will likewise be notified by MCP at least one (1) month prior to deletion or purging of his/her Account. MCP will also provide reminders to reactivate the Dormant Account.

8.5    An individual may apply for another Account after the deletion of his/her Dormant Account. 
9.    Termination of Account and Post-Termination Measures
9.1    Your breach of this T&C, the Privacy Policy, or the Acceptable Use Policy will result in either the suspension of your Account pending investigation, or its termination, at MCP’s full discretion.

9.2    In the event of suspension of Account, any Transaction by the Account Holder during the suspension period will be considered a Fraudulent Transaction with potential criminal implications.

9.3    Where his/her Account is terminated, the Account Holder agrees to and shall pay any unpaid amounts immediately.

9.4    Should an Account Holder wish to terminate the usage of his/her Account, he/she must notify and request MCP to close the Account.

9.5    When terminating the usage of the System or App, it is the responsibility of the Account Holder to cash-out all E-money left in his/her Account.

9.6    The Account Holder agrees that even if his/her Account is terminated and closed, the Account Holder details as well as Transaction records and other Account information will be stored in MCP’s database for at least five (5) years in accordance with BSP regulations, and at least ten (10) years in accordance with tax regulations. 
10.    Fraudulent Usage and Implementation of Service Suspension
10.1    Users are responsible for checking Transaction details to ensure that the amounts and details are correct. Since all Transactions on the System or App require User authorization through the input of a PIN, the Transaction amounts are assumed to be genuine and correct.

10.2    MCP will monitor Transactions, and MCP reserves the right to suspend or decline Transactions it has reason to believe as suspicious. Where a Transaction is suspended, MCP will conduct an investigation and contact the Account Holder to determine whether the Transaction is genuine.

10.3    MCP has the discretion to suspend an Account to immediately conduct an investigation, as a necessary and practical measure against any reasonably suspected act(s) of fraud, misuse, or misconduct, without prior notice to the Account Holder/User.


In the event of suspension of Account under this Clause 10.3, any usage of the System or App by the Account Holder/User during the suspension period will be considered as a Fraudulent Transaction with criminal implications.

10.4    For Transactions flagged by Transaction monitoring, MCP will contact the Account Holder/User to conduct Request-For-Information to verify that the Transactions are genuine.

If the Account Holder/User cannot be reached, MCP may suspend the Account under Clause 10.3 above. The said Account Holder/User must contact MCP to request for reactivation, subject to MCP’s approval after confirmation of the Account Holder/User’s details. Reactivation fees may be applicable. 
11.    Protection against Unauthorized Transactions on your e-wallet
11.1    User Protect Program (the “Program”), in general

MCP will provide compensation for Unauthorized Transactions involving the use of your MCP e-wallet.

For purposes of this Clause 11, an “Unauthorized Transaction” occurs when money is transferred and/or withdrawn from your MCP e-wallet without your authorization, consent, and approval. With regard to the circumstance of lack of authorization/consent/approval, this includes, but shall not be limited to, cases of theft of your password to access your Account and perform transactions in that Account without your consent, or cases of theft of your smartphone or another electronic device registered and linked to your MCP e-wallet, to access your Account and perform unauthorized transfers.

For the avoidance of doubt, Unauthorized Transaction shall not include instances where the transaction was genuinely made by you (or made with your consent), but the details entered are incorrect, or the promised good/service was not delivered by the merchant involved.

The Program will cover Unauthorized Transactions on your MCP e-wallet subject to the procedure under Clause 11.2, as well as the limits set forth in Clause 11.3 and the exclusions in Clause 11.4.

11.2    Procedure

11.2.1    If you have reason to believe that an Unauthorized Transaction has occurred in your Account, immediately report the same to us through telephone, by e-mail, or by submitting an inquiry ticket in our website. Our customer support will assist you in filing your claim or dispute (hereinafter referred to in this Clause 11 as the “Dispute” or “Claim”).

11.2.2    Period for Reporting an Unauthorized Transaction

(a)    Unauthorized Transactions must be reported within fifteen (15) calendar days from the date of occurrence of such Unauthorized Transaction. This is without prejudice to Clause 11.2.2(b) below.

(b)    However, for theft of an electronic device registered and linked to your MCP e-wallet, it is required that, within forty eight (48) hours from your knowledge of the said theft of device, (i) the fact thereof must have been reported to us, and (ii) a request to block your Account must have been submitted to us. Further, you will be advised that the access of the compromised device to your Account will be blocked permanently. 

(c)    The Claim will be rejected if the Unauthorized Transaction has been reported beyond the applicable period set forth above.


11.2.3    Required Documents

In order for MCP to commence the investigation and assess the Dispute, you must provide the required documentation, within the period communicated to you by our customer support. Required documents may include, but are not limited to, the MCP Dispute Form with the complete narration of the incident, a copy of your Valid ID with specimen signature, or other forms of proof of identity that may be required by MCP customer support.

11.2.4    Investigation

Once MCP is notified with sufficient information of the Unauthorized Transaction, and the Dispute Form is duly filled out completely, then --

(a)    MCP will investigate to determine the validity of the Dispute, and will endeavour to complete the investigation within five (5) Business days from the date of receipt of the complete documents and requirements.

In the event that MCP will not be able to complete the investigation within the said 5-Business-day period, MCP will notify you regarding the status of the investigation as well as the reason for the extension, and you will be informed as to when the investigation will be completed.

(b)    MCP will provide the results of the investigation to you in writing. 

(c)    In the event that the outcome of the said investigation involves compensation in your favor, MCP will inform you of your eligibility for such compensation and the amount thereof, which shall be subject to Clause 11.3 below.


11.3    Compensation Limits

11.3.1    For Corporate Members (such as the Company), the total amount of compensation referred to in Clause 11.2.4(c) above shall be the actual amount of the Unauthorized Transaction reported, but in no case shall exceed USD18,000.00. This compensation limit covers both USD e-wallet and PHP e-wallet.

11.3.2    For Individual Members (such as the Users), the total amount of compensation shall be the actual amount of the Unauthorized Transaction reported, but in no case shall exceed USD2,000.00. This compensation limit covers both USD e-wallet and PHP e-wallet.

11.4    Exclusions

In general, transactions that do not fall under the definition of an “Unauthorized Transaction” are excluded from the Program, and any Claim or Dispute that does not comply with the requirements under Clause 11.2 above shall likewise be excluded from the Program. In relation thereto, and without prejudice to any other reasonable cause for denial of the Claim (that may be discovered in the course of the investigation mentioned in Clause 11.2.4), the following instances are excluded and not eligible for compensation under the Program:

a.    Unauthorized Transactions that have been reported beyond the applicable period set forth in Clause 11.2.2 above. 

b.    Instances where the transaction was genuinely made by you (or made with your consent), but the details entered are incorrect, or the promised good/service was not delivered by the merchant involved.

c.    Channel Fraud where the point of compromise is not via the MCP mobile app.
 
d.    Individual Members who did not comply with the submission of required documents. 

e.    Instances of unauthorized use or theft of information for accessing your MCP e-wallet, by your relatives or someone who lives together with you, or by your employees, or by the relatives of or someone who lives together with any authorized persons or employees of the authorized persons. The exclusion under this Clause 11.4(e) is specified under MCP’s pertinent insurance policy and shall apply to the Program. 

f.    Cases where there is any willful act or willful negligence on your part or on the part of any of your representatives, that weakens the effectiveness of the fraud prevention measures of MCP, or any other case where there is intention of fraud, product abuse, or negligence that may have led to or contributed to the occurrence of the Unauthorized Transaction. 
12. Exclusion from Liability
12.1    MCP takes no responsibility for any server or device disruptions, delay, or interruption of service, due to force majeure, administrative error, technical, mechanical, electrical or electronic fault or difficulty, or any other reason or circumstance beyond the control of MCP. MCP will, however, endeavor in good faith to resume service as soon as practicable.

12.2    In case of loss or theft of a device on which the System or App is installed, an Account Holder/User must, within forty eight (48) hours from his/her knowledge of the said loss or theft of device, report the same to MCP and request MCP to block his/her Account.

MCP will waive the Account Holder/User’s liability for any Transactions recorded in the Account after the time of the report to law enforcement authorities and up to the maximum monthly transaction limit. However, in case the Account Holder/User fails to report the loss or theft of the device to the relevant law enforcement authorities or to MCP, or reports the same beyond the above-mentioned 48-hour period, the Account Holder/User will be held liable for all Transaction amounts recorded in the Account.

12.3    MCP will not be liable for any leakage of personal information due to lost or stolen devices of the Account Holder/User, or for any other incidents due to the fault of the Account Holder/User.

12.4    The System or App is an “As-Is As-Available” service, and MCP makes no warranties of any kind, and will not be held liable for loss, damage or liability resulting from the non-delivery of any Transaction.

12.5    MCP shall not be liable to the Account Holder/User for any indirect, special, punitive, incidental, or consequential damages or losses, whether such damages are alleged as a result of breach of contract, of tort or otherwise.

12.6    In the event of any action filed against MCP by an Account Holder/User and where MCP is found to be at fault, MCP and the Account Holder/User agree that MCP's liability shall be limited to such Account Holder/User’s actual and direct damages. 
13.    Miscellaneous Provisions 
13.1    MCP shall refuse to provide its services as well as access to and usage of the System or App to any Antisocial Forces and Organisations, connected entities and individuals. Use of the System or App will be terminated for Account Holders/Users identified as part of or aiding the foregoing groups.

13.2    Separability Clause. Should any term or condition in this T&C be rendered void, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining terms and conditions shall not be affected or impaired thereby.

13.3    Complaints Handling Process. Complaints and feedback may be provided in confidence by contacting the prescribed channels over the phone, via email, or other means made available by MCP from time to time. MCP assures that it will handle User concerns with utmost confidentiality and will strive to resolve them as soon as possible.

13.4    Complaints Resolution Timeline. All complaints lodged with MCP will be resolved within the applicable timeframe as follows: 

13.5    MCP fully cooperates with the BSP in the handling of complaints. Further escalation can be raised with the BSP's Financial Consumer Protection Department.

13.6    Non-waiver. Any failure, omission, or delay on the part of MCP to exercise its rights or remedies under this T&C shall not operate as a waiver.

13.7    Jurisdiction. Venue of all suits shall either be at Taguig City or at any other location at the exclusive option of MCP.

13.8    Governing Law. This T&C shall be construed in accordance with and governed by the laws of the Republic of the Philippines.
